This Disclaimer applies to doculatch.com (“Website”), operated by DocuLatch, a service of Shantallow Partners Pty Ltd (ABN 75 495 300 172) and Laguna Media (“we”, “us”, or “our”).
It should be read together with our Terms of Use and Privacy Policy. Where this Disclaimer and the Terms of Use address the same subject, the Terms of Use prevail.
1. What DocuLatch Is
DocuLatch is a technical platform. A Vendor uploads a document and sets a price; a Buyer pays; the document is released automatically.
We are not a party to the transaction between a Vendor and a Buyer. We do not select, commission, review, verify, endorse, or warrant any document offered through the Platform, and we do not open or read the contents of uploaded documents except in the limited circumstances set out in our Privacy Policy.
2. Documents Are Not Our Content
Documents sold through DocuLatch are the work of the Vendor who uploaded them. This includes reports, valuations, audits, assessments, plans, analyses, and any professional opinion they contain.
We do not verify a Vendor’s identity, qualifications, professional registration, insurance, or competence. Nothing on this Website should be taken as a representation that a Vendor is qualified to provide the services their document describes.
If you are a Buyer and the document you are purchasing constitutes professional advice, satisfy yourself as to the Vendor’s credentials before you pay, and raise any question about the content, accuracy, or suitability of the document with the Vendor directly.
3. We Do Not Give Advice
DocuLatch does not provide legal, financial, taxation, engineering, valuation, or other professional advice. Nothing on this Website is advice of that kind, and nothing on it should be relied on as a substitute for advice from a qualified professional.
You are responsible for ensuring your own use of the Platform complies with the law that applies to you, including law relating to the sale of digital goods, taxation and reporting, consumer protection, privacy, and professional regulation.
4. No Guarantee of Content, Delivery, or Outcome
We do not guarantee that:
- A document is accurate, complete, current, lawful, or as described
- A document is free of malware or harmful components
- A document will meet a Buyer’s expectations or requirements
- A payment will be completed, or that it will not later be reversed or charged back
- A release will occur without delay, or that the Platform will be available without interruption
The Platform is provided on an “as is” and “as available” basis.
5. Security
We apply the security measures described in our Privacy Policy. No system is completely secure, and we do not guarantee that the Platform, or any document held on it, cannot be compromised.
Vendors are responsible for the confidentiality of their credentials and for controlling who receives their private document links. Buyers are responsible for scanning any file they download and for storing it securely.
6. Third-Party Services
The Platform depends on third-party providers, including payment processing, cloud storage, content delivery, and email. We are not responsible for their performance, failures, delays, security practices, or terms. Your use of a third-party service is subject to that provider’s own terms.
7. Australian Consumer Law
Nothing in this Disclaimer excludes, restricts, or modifies any guarantee, right, or remedy that cannot be excluded under the Australian Consumer Law or any other applicable consumer protection law.
Where our liability under such a law cannot be excluded, it is limited, at our option, to resupplying the service or paying the cost of having the service resupplied.
Clauses 4 and 8 are read subject to this clause.
8. Limitation of Liability
Subject to clause 7, the limitations and exclusions of liability in clause 13 of our Terms of Use apply to this Disclaimer and are not repeated here.
9. Changes to This Disclaimer
We may update this Disclaimer from time to time. The effective date at the top of the page shows when it was last revised. Continued use of the Platform after that date means you accept the updated Disclaimer.
