Terms of Use
Effective Date: 18 August 2026 (supersedes the version dated 26 April 2026)
Welcome to doculatch.com (“Website”), operated by DocuLatch, a service of Shantallow Partners Pty Ltd (ABN 75 495 300 172) and Laguna Media (“we”, “us”, or “our”).
By accessing or using this Website and its tools and services (together, the “Platform”), you agree to be bound by these Terms of Use. If you do not agree, you must not use this Website.
1. Description of the Service
DocuLatch is a pay-to-unlock document delivery service. A Vendor uploads a document, sets a price, and shares a private link. A Buyer pays through our payment processor, and the document is released automatically.
DocuLatch acts solely as a technology provider. The sale of a document is a contract between the Vendor and the Buyer. We are not a party to that contract, we do not act as agent for either party, and we do not review, endorse, verify, or warrant any document offered through the Platform.
In these Terms, “you” means whichever role you are acting in at the time. Some clauses apply to Vendors only, some to Buyers only, and these are marked.
2. Eligibility
You must be at least 18 years old, or the age of legal capacity in your jurisdiction, to use the Platform.
By using DocuLatch you represent and warrant that:
- You have the legal capacity to enter into binding agreements
- All information you provide is accurate and complete
- You are not barred from using the Platform under any applicable law or sanctions regime
3. Accounts and Access
Vendors must create an account. Buyers do not require an account to purchase a document.
You agree to:
- Keep your login credentials secure and confidential
- Be responsible for all activity under your account
- Notify us immediately of any unauthorised use of your account
Accounts are personal to the account holder. You may not share, transfer, sell, or sublicense your account or credentials.
We are not liable for unauthorised access resulting from your failure to secure your account, or from your sharing of a private document link.
4. Acceptable Use
You agree to use the Platform only for lawful purposes and in a manner that does not:
- Violate any applicable law or regulation
- Infringe copyright, moral rights, trade marks, confidentiality, or any other right of a third party
- Distribute malware, viruses, or harmful code
- Misrepresent a document, its authorship, its contents, or its price
- Facilitate fraud, money laundering, or any unlawful transaction
- Circumvent, disable, or interfere with any security, authentication, payment, or access-control measure
- Use any robot, scraper, or automated means to access, index, or copy any part of the Platform
- Attempt to access a document you have not paid for, or share a download intended for you in a way that defeats the payment requirement
5. Vendor Obligations
5.1 Rights in what you upload. You represent and warrant that you own, or are licensed to distribute and sell, all material you upload, and that its sale through the Platform does not breach any law, contract, confidentiality obligation, or third-party right.
5.2 Accurate description. You must describe the document accurately, including its scope, format, and anything a reasonable Buyer would need to know before paying. You are responsible for meeting the expectations you create.
5.3 Personal information. Documents you upload may contain personal information about your own clients. In relation to that information you are the controlling party and we act as a service provider on your behalf. Your obligations, and ours, are set out in our Privacy Policy. You must have the right to include that information and to disclose it to the Buyer.
5.4 Prohibited material. You must not upload material that is unlawful, that depicts or facilitates the abuse or sexual exploitation of children, that incites violence, or that you are not entitled to distribute. Breach of this clause is a material breach and we may remove the material and terminate your account immediately and without notice.
5.5 Support and disputes. You are responsible for responding to your Buyers, and for the risk of disputes, refunds, and chargebacks arising from your sales.
6. Buyer Terms
6.1 Before you pay. Review the document title, description, price, and any note from the Vendor before purchasing. Because the product is a document, you will generally not be able to inspect it before payment.
6.2 What you receive. On successful payment you receive a licence to download and use the document for your own purposes. Unless the Vendor states otherwise in writing, you may not resell, republish, or redistribute it.
6.3 Availability. You may re-download a purchased document for the period stated in our Privacy Policy. Download the file and keep your own copy.
6.4 Who you are contracting with. Your contract for the document is with the Vendor, not with us. Questions about the content, suitability, or accuracy of a document must be raised with the Vendor.
6.5 What the Vendor sees. Completing a purchase discloses your email address and payment status to the Vendor.
7. Fees, Payments, and Payouts
7.1 Payment processing. Payments are processed by a third-party payment provider. Your use of that provider is subject to its own terms and privacy policy. We do not store full card numbers.
7.2 Our commission. We charge a platform commission of 1% of the sale price on completed sales. The payment provider’s own processing fees are separate and charged by that provider. [INSERT: GST treatment — confirm with your accountant and state it here.]
7.3 Payouts to Vendors. Net proceeds are remitted to the Vendor’s nominated account [INSERT: payout schedule – e.g. within X business days of a completed sale, subject to the payment provider’s clearing times].
7.4 Payment risk. You acknowledge that payments may be subject to processing delays, failures, holds, or reversals by the payment provider, and that we do not guarantee payment completion.
7.5 Chargebacks. Where a Buyer initiates a chargeback or the payment provider reverses a payment, the reversed amount and any associated fee are the Vendor’s responsibility, and we may deduct them from current or future payouts.
7.6 Price changes. We may change our commission or introduce other fees on notice to Vendors. Changes do not affect sales already completed.
8. Refunds and Disputes
Refunds are a matter between the Vendor and the Buyer. We do not mediate disputes, and we do not guarantee a refund.
We may, at our discretion, reverse a release or refund a payment where we believe a transaction is fraudulent, unlawful, or in breach of these Terms.
Nothing in this clause limits any right you have under the Australian Consumer Law or other applicable consumer protection law. See clause 12.
9. Intellectual Property
9.1 Your content. You retain ownership of documents you upload. You grant us a limited, non-exclusive licence to store, process, transmit, and release that content solely to provide the Platform. That licence ends when the content is deleted, except to the extent it persists in backups for the period described in our Privacy Policy.
9.2 Our Platform. All software, designs, interfaces, layouts, text, and graphics comprising the Website and Platform are owned by or licensed to us and protected by intellectual property law. You are granted a limited, non-exclusive, non-transferable, revocable licence to use the Platform. You may not copy, reverse engineer, decompile, or attempt to derive the source code, structure, or underlying logic of the Platform, or use it to develop a competing product.
9.3 Infringement complaints. If you believe material available through the Platform infringes your rights, contact us with the document link, a description of the material and your right in it, and your contact details. We will investigate and may remove or suspend access to material pending resolution. We may pass your complaint to the Vendor.
10. Service Availability
We may modify, suspend, or discontinue any part of the Platform at any time, and may restrict or terminate access. We do not guarantee uninterrupted or error-free operation, and we are not responsible for loss caused by an outage, a failed release, or a delayed payment beyond our control.
11. Third-Party Services
The Platform relies on third-party providers, including payment processing, cloud storage, content delivery, and email. We are not responsible for their performance, failures, terms, or practices.
12. Australian Consumer Law
Nothing in these Terms excludes, restricts, or modifies any guarantee, right, or remedy that cannot be excluded under the Australian Consumer Law or any other applicable consumer protection law.
Where our liability under such a law cannot be excluded, our liability is limited, at our option, to resupplying the service or paying the cost of having the service resupplied.
Clauses 8, 13, and 14 are read subject to this clause.
13. Disclaimer and Limitation of Liability
The Platform is provided “as is” and “as available”. Subject to clause 12, and to the fullest extent permitted by law, we make no warranties, express or implied, as to fitness for a particular purpose, continuous availability, or error-free operation, and we are not liable for:
- Loss of profits, revenue, business, or reputation
- Loss or corruption of files or data
- Fraudulent, misleading, or unsatisfactory transactions between Vendors and Buyers
- The content, accuracy, quality, or legality of any document uploaded by a Vendor
- Payment failures, disputes, reversals, or chargebacks
- Indirect, incidental, or consequential loss
Subject to clause 12, our total aggregate liability to you in connection with the Platform is limited to the total fees we have received from you in the twelve months before the event giving rise to the claim.
Your use of the Platform is at your own risk.
14. Indemnity
Subject to clause 12, you indemnify us and our affiliates against any claim, loss, cost, or damage arising from:
- Your use of the Platform
- The content you upload, including any claim that it infringes a third-party right or discloses personal information without authority
- Your breach of these Terms or of any law
15. Termination
We may suspend or terminate your access at any time if you breach these Terms, if we reasonably suspect fraud or unlawful use, or if we discontinue the service.
On termination:
- Your right to use the Platform ceases immediately
- Documents you have uploaded are deleted in accordance with the retention periods in our Privacy Policy
- Documents already purchased remain available to Buyers for the period stated in our Privacy Policy
- Any payout properly due to you for completed sales remains payable, less any amounts owing to us
Termination for breach is without refund. Clauses 9, 12, 13, 14, and 18 survive termination.
You may close your Vendor account at any time. Export anything you wish to keep before you do.
16. Privacy
Your use of the Platform is also governed by our Privacy Policy.
17. Acceptance and Record
Creating an account, completing a purchase, or continuing to use the Platform constitutes acceptance of these Terms. Your acceptance is recorded electronically, together with the date, time, IP address, and account or transaction identifier, and constitutes your electronic signature for the purposes of the Electronic Transactions Act 1999 (Cth) and the Electronic Transactions (Queensland) Act 2001.
18. Governing Law
These Terms are governed by the laws of Queensland, Australia, and you submit to the exclusive jurisdiction of the courts of that State, unless otherwise required by applicable law.
19. Changes to These Terms
We may update these Terms from time to time. The effective date at the top of the page shows when they were last revised. Where changes are material, we will notify Vendors by email before they take effect. Continued use of the Platform after that date means you accept the updated Terms.
